- 江天一 Tony Jiang

Mr. Tony Jiang is a Partner at Ocean Link and serves on the firm's board of directors. He brings over a decade of investment experience in the travel and tourism sector. In addition to leading investments in Ocean Link's current portfolio, he has been previously involved in investments in New Century Kaiyuan Hotels, Crystal Orange, Plateno Hotels Group, as well as several other companies in the travel, consumer, and internet sectors. Prior to founding Ocean Link, Mr. Jiang was with The Carlyle Group from 2006 to 2016 where he most recently served as a Director in the firm's corporate private equity division, focused on buyout opportunities in Asia. Prior to this, Mr. Jiang worked in the investment banking division of Deutsche Bank. He currently serves on the board of directors of Mind Education, the leading provider of educational tours and summer camps in China, and Ruby Hotels, a Europe-based hotel chain leading the "lean luxury" concept with expansion plans to Asia. He received a B.S. in Electrical Engineering from Columbia University where he was a Fu Scholar.

Mr. Alex Zheng is a Partner at Ocean Link and serves on the firm's board of directors. He brings over 20 years of travel and tourism sector experience, serving in leadership positions within the hotel, online travel agency, and IT solution sub-sectors. In addition to his role at Ocean Link, Mr. Zheng concurrently serves as Co-Founder, Chairman, and Chief Brand Architect of Plateno Hotels Group, one of China's leading hospitality groups, which he co-founded in 2005. Earlier in his career, he was the Co-Founder of Armitage Technologies Limited, an IT solutions provider and application software developer in Hong Kong, and Pegasus Hotel Management System, China's top hotel management software. He is also on the board of directors of VIPShop (NYSE: VIPS), and eLong, an Ocean Link portfolio company. He received an E.M.B.A. and B.S. in Computer Science from Sun Yat-Sen University Lingnan College.

Mr. James Liang is a member of Ocean Link's board of directors. He brings significant travel and tourism sector experience after founding Ctrip in 1999 and leading the company to become a USD 25 billion market cap industry leader. Mr. Liang is Co-Founder and Executive Chairman of Ctrip, the largest online travel services provider in China, and a strategic partner of Ocean Link. He also served as Chief Executive Officer of Ctrip for 9 years. Mr. Liang currently serves on the board of directors of MakeMyTrip (NASDAQ: MMYT) and Sina (NASDAQ: SINA). He received a Ph.D. from Stanford University and an M.A. and B.A. from Georgia Institute of Technology. He also attended an undergraduate program at Fudan University.

Ctrip and Ocean Link Partners File Amended Transaction Statement on Schedule 13E-3 with Securities and Exchange Commission
Shanghai, China, August 8, 2018 /PRNewswire/ — the consortium formed between Ocean Link and Ctrip (the “Ocean Link Consortium”), today announced that it and other filing persons have filed an amended transaction statement on Schedule 13E-3 (“Transaction Statement”) with the United States Securities and Exchange Commission (the “SEC”) under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), in connection with the previously announced revised non-binding proposal (the “Revised Proposal”) to acquire all outstanding common shares (the “Shares”) of eHi Car Services Limited (NYSE: EHIC) (“eHi”) not currently owned by members of the Ocean Link Consortium in a going-private transaction (the “Ocean Proposed Transaction”) and the proposed purchase of shares by Ctrip from certain existing shareholders of eHi. Ocean Link is a private equity firm dedicated to investing in travel-related industries in China, and Ctrip is a leading provider of accommodation reservation, transportation ticketing, package tour and corporate travel management and other travel-related services in China.
The Transaction Statement and the exhibits to the Transaction Statement contain information about the proposed acquisition by Ctrip of up to (a) 19,131 Class A common shares, par value US$0.001 per share, of the Company (“Class A Shares”), 3,156,358 Class B Shares, par value US$0.001 per share, of the Company (“Class B Shares,” and together with the Class A Shares, the “Shares”) and 272,358 American Depositary Shares of the Company, each representing two Class A Shares (“ADSs”) (collectively, the “IGC Offered Securities”) held by Ignition Growth Capital I, L.P. and Ignition Growth Capital Managing Directors Fund I, LLC (the “IGC Sellers”), and (b) 4,632,952 Class B Shares (the “GS Offered Shares”) held by GS Car Rental HK Limited and GS Car Rental HK Parallel Limited (the “GS Sellers”). It is currently contemplated that the transfer of the GS Offered Shares will be implemented as a sale of the capital stock of the GS Sellers and/or one or more affiliates of the GS Sellers and the transfer of the Class B Shares included in the IGC Offered Securities will be implemented as a sale of the capital stock of one or more affiliates of the IGC Sellers, which will allow, in each case, the transfer of the GS Offered Shares and the IGC Sellers’ Class B Shares without conversion into Class A Shares under the memorandum and articles of association of the Company.
As further described in the Transaction Statement and the exhibits to the Transaction Statement, Ctrip is a member of the Ocean Link Consortium formed to acquire all Shares of eHi not currently owned by members of the Ocean Link Consortium in a going-private transaction. If the Ocean Proposed Transaction is completed, the Ocean Link Consortium will beneficially own all outstanding shares of eHi and the ADSs will no longer be listed on the New York Stock Exchange. Ctrip has agreed to vote, or cause to be voted, all Shares and ADSs it beneficially owns, including any IGC Offered Securities and GS Offered Shares it acquires, in favor of the authorization and approval of the Ocean Proposed Transaction, and against any alternative transaction. Ctrip’s potential purchase of the IGC Offered Securities and/or the GS Offered Shares may be viewed as a step in a series of transactions, including the Ocean Proposed Transaction, which constitute a “going-private” transaction under Rule 13e-3 of the Exchange Act.
